Terms of Service

1. Acceptance of the terms

By creating an account or using Megorix — website, web app, or mobile app (together, the “Service”) — you accept these Terms of Service and our Privacy Policy. The Service is operated by MegaPC Informática e Software, Lda., Portuguese tax ID (NIPC) 504125931, registered at Rua Álvaro Teles nº 221, Alburitel, 2490-020 Ourém, Santarém, Portugal.

2. Description of the service

Megorix is a subscription-based business management software (ERP) that includes modules such as invoicing, inventory, HR, CRM, and an online store page builder, among others. Available features depend on your organization's contracted plan.

3. Accounts and user responsibilities

• You are responsible for keeping your password confidential and for all activity on your account;
• You must provide truthful information and keep it up to date;
• If you represent an organization, you confirm you have the authority to bind it to these Terms;
• An administrator of your organization may manage, suspend, or remove user accounts within that organization.

4. Subscriptions and payments

Access to certain plans and modules requires a paid subscription, processed through Stripe. Subscriptions renew automatically at the end of each period unless cancelled beforehand. Prices may change with prior notice; changes do not affect an already-paid period.

5. Acceptable use

When using the Service, you agree not to:

• Use the Service for illegal or fraudulent purposes;
• Attempt to access another organization's data without authorization;
• Attempt to compromise the security or availability of the platform (e.g., denial-of-service attacks, exploiting vulnerabilities);
• Reverse-engineer the software, except to the extent permitted by law;
• Resell or sublicense access to the Service without written authorization.

6. Customer data and content

The data your organization enters into Megorix remains that organization's property. You grant us a limited license to process that data, only to the extent necessary to provide the Service (storage, computation, display, sending the notifications and emails you configure). You may export or request deletion of your data at any time, subject to legal retention obligations.

7. Intellectual property

The Megorix software, brand, design, and content are the property of MegaPC. These Terms do not grant you any ownership right in the software — only a non-exclusive, non-transferable license to use it, tied to an active subscription.

8. Availability and changes to the service

We strive to keep the Service available, but we do not guarantee uninterrupted availability. We may perform planned maintenance, and we may add, change, or discontinue features, with reasonable prior notice whenever the change is material.

9. Limitation of liability

To the maximum extent permitted by law, MegaPC is not liable for indirect, incidental, or consequential damages arising from use of the Service. Our total liability to you, for any reason related to the Service, is limited to the amount your organization paid in the 12 months prior to the event giving rise to the claim.

10. Termination

You may cancel your subscription at any time. We may suspend or terminate access to the Service in the event of a breach of these Terms, non-payment, or a decision to discontinue the Service, with reasonable prior notice except in cases of serious breach or security risk.

11. Changes to these terms

We may update these Terms periodically. Material changes will be communicated by email or via an in-app notice, with the “last updated” date at the top of this page revised accordingly. Continued use of the Service after a change constitutes acceptance of the new Terms.

12. Governing law and jurisdiction

These Terms are governed by Portuguese law. Any dispute is subject to the exclusive jurisdiction of the courts of MegaPC's registered address, with express waiver of any other.
